Terms and Conditions

1. General provisions

1.1. These terms and conditions govern the relationship between [TEST] ЕООД, UIC 23523423423, with registered office and address of management at [Седалище и адрес на управление] (hereinafter “Linkche”), and the persons using its website design, hosting and maintenance services (hereinafter the “Client”).

1.2. By ordering a service, the Client confirms that they have read and accept these terms and conditions.

1.3. The services are intended for traders, organisations and self-employed professionals.

2. Services

2.1. Linkche builds websites according to the packages described on the Prices page and provides hosting, maintenance and access to an admin panel.

2.2. The scope of each package – number of pages, email accounts, resources and additional features – is the one stated on the Prices page on the date of the order.

2.3. Services outside the chosen package are charged according to the prices for extra services or a custom quote.

2.4. Mailboxes are provided through an external professional email provider. Their number is stated in the package description; extra mailboxes are charged yearly.

2.5. Technical support is free of charge and covers fixing technical problems with the website, security and updates. Changes to content, design or features are paid through the packages of hours of changes and help.

2.6. Purchased hours of changes and help are to be used within 12 months of payment.

2.7. Before each change, Linkche gives an estimate of the time needed and starts work after the Client’s approval. If it turns out that more time is needed than approved, Linkche stops and asks for the Client’s consent to the additional time. Without such consent, no more than the approved time is charged.

2.8. Time is counted in 15-minute units. On request, Linkche provides a report of the hours used.

3. Order and development

3.1. An order is confirmed by paying a deposit of 50% of the first-year price.

3.2. The Client provides the content of the website – texts, photos, logo, prices and contact details. The development period starts once the complete content has been received.

3.3. The price includes two rounds of changes to the draft. Further changes are charged as extra changes.

3.4. The remaining amount is paid before the website is published.

3.5. The Client is responsible for the content they provide, including the rights to texts and photos.

3.6. An individual offer may also be accepted online – through the link Linkche sends to the Client. The acceptance is recorded with the name, date, time and IP address. The order is confirmed in accordance with clause 3.1.

4. Prices and payment

4.1. The first-year price includes building the website and the package services for 12 months from its publication.

4.2. After the first year, the services are renewed for a new 12-month period against a yearly renewal fee according to the package and the chosen yearly extra services (for example extra mailboxes).

4.3. Linkche issues a renewal invoice 30 days before the end of the current period. The invoice contains a link for card payment. Payment by bank transfer is also possible.

4.4. Linkche sends payment reminders by email 14 days, 7 days and 1 day before the due date.

4.5. Linkche may change the prices for future periods by notifying the Client at least 60 days before the renewal.

4.6. Linkche is not registered under the Bulgarian Value Added Tax Act. Prices are final and no VAT is charged on them.

4.7. Apart from the prices stated on the Prices page and the fees under sections 8.3 and 9.4, Linkche does not charge any other fees.

4.8. Discount codes are valid only for the period shown on the website and only if entered in the inquiry. The discount applies to the first-year price (website build and one-off services), does not apply to the yearly renewal and cannot be combined with other discounts.

5. Non-payment and temporary suspension

5.1. If the renewal fee has not been paid by the due date, Linkche sends the Client a reminder.

5.2. After the third day following the due date, Linkche has the right to temporarily suspend the website, showing an information page instead. The Client is notified by email.

5.3. Once payment is received, the website is restored within one business day, usually immediately.

5.4. When suspending the website, Linkche may also suspend the email accounts linked to it.

5.5. If payment is not made within 60 days after the due date, the contract is terminated. The website content is kept for another 30 days, during which the Client may request a copy of it. After that it is deleted.

6. Resources and upgrades

6.1. Each package includes a certain amount of disk space, monthly traffic and number of mailboxes, stated on the Prices page.

6.2. If the website exceeds the package resources for two consecutive months, Linkche notifies the Client by email.

6.3. Within 30 days of the notice, the Client chooses one of the following: moving to a bigger package, moving to a separate server under a custom quote, or terminating the contract under section 8.

6.4. Traffic from automated programs (bots), attacks and other unusual sources is not counted as an overage.

6.5. If the website loads the server to an extent that endangers the operation of other websites, Linkche may temporarily limit its resources and will notify the Client.

6.6. Linkche does not change the package or the price without the Client’s consent.

7. Intellectual property

7.1. The domain is registered in the Client’s name and is the Client’s property. In the Business package the registration and renewal fee is included in the price. In the other packages the Client pays it directly to the registrar and Linkche carries out the setup.

7.2. The texts, photos and other content provided by the Client remain the Client’s property.

7.3. The price of a logo designed by Linkche includes three rounds of revisions. The logo becomes the Client’s property once it has been paid in full.

7.4. The program code, the admin panel, the design templates and other technical solutions are created by Linkche and are its property. The Client receives a non-exclusive, non-transferable right to use them for their website while the contract is in force.

7.5. The program code and the admin panel are not sold or transferred. The Client may not copy, modify, decompile or provide them to third parties.

8. Termination

8.1. The Client may terminate the contract by not renewing the services or by notifying Linkche in writing, including by email. Fees paid for the current period are not refunded.

8.2. Within 30 days after termination, the Client may request a free copy of their content – texts, photos, logo and the inquiries received through the website.

8.3. At the Client’s request, Linkche provides a static copy of the website (HTML, CSS and images, without the admin panel and program code) for a one-off fee of €300. Functions that depend on the program code, such as the contact form, do not work in the static copy. The Client may use the static copy only for their own website.

8.4. Linkche assists with transferring the domain to another provider.

8.5. Linkche may terminate the contract in the event of a material breach by the Client, including the publication of unlawful content.

9. Portfolio and credit link

9.1. Linkche may show the Client’s website in its portfolio – with the business name, city, type of business and an image of the website.

9.2. A small “Website by Linkche” link to linkche.bg is placed at the bottom of the website. The link is part of the service.

9.3. The Client may at any time request that their website is not shown in the portfolio by writing to [email protected].

9.4. The link under 9.2 may be removed only at the Client’s express request for a one-off fee of €500.

10. Personal data

10.1. Linkche processes the Client’s personal data in accordance with the Privacy Policy.

10.2. When the Client’s website collects personal data of its visitors (for example through a contact form), the Client is the controller of that data and Linkche is a processor within the meaning of Article 28 of Regulation (EU) 2016/679.

10.3. Linkche processes such data only for the purposes of hosting and maintenance and on the Client’s instructions, keeps it confidential and applies appropriate technical and organisational measures to protect it.

10.4. Linkche does not disclose such data to third parties, except to the infrastructure providers needed for the service (including the email service provider) or where required by law.

11. Liability

11.1. Linkche makes reasonable efforts to keep the website continuously available but does not guarantee uninterrupted operation. Planned maintenance is carried out outside business hours where possible.

11.2. Linkche makes daily backups. We recommend that the Client also keeps their own copies of important content.

11.3. Linkche is not liable for lost profits, for damage caused by content provided by the Client, or for the actions of third parties beyond its control.

11.4. Linkche’s total liability to the Client is limited to the amount of fees paid by the Client for the last 12 months.

12. Changes to these terms

12.1. Linkche may change these terms and conditions. Clients are notified by email at least 30 days before the changes take effect.

13. Governing law

13.1. Matters not covered by these terms are governed by Bulgarian law.

13.2. The parties resolve disputes by mutual agreement and, failing that, before the competent Bulgarian court.
